Terms of Service.

These Terms of Service ("Terms") are a binding agreement between you and [LEGAL ENTITY NAME] Placeholder ("Salesy," "we," "us") governing your use of the Salesy mobile app and staysalesy.com (the "Service"). By creating an account or using the Service, you agree to these Terms. If you don't agree, don't use the Service.

You're responsible for the accuracy of your account information, for keeping your credentials secure, and for everything that happens under your account. Tell us promptly at [SUPPORT EMAIL] Placeholder if you suspect unauthorized access. One account per person; don't share credentials.

Salesy offers a free tier and paid subscriptions:

• Pro — $9.99 per month, or $79.99 per year.

How payment works. All purchases are processed by Apple's App Store or the Google Play Store, subject to their terms. We never receive your payment card details.

Auto-renewal. Subscriptions renew automatically at the end of each billing period at the then-current price, unless you cancel at least 24 hours before the current period ends. Your account is charged for renewal within 24 hours before the period ends.

Cancelling. Manage or cancel your subscription in your Apple ID or Google Play account settings — not in Salesy, and not by emailing us (we can't cancel it for you). Cancelling stops future renewals; you keep access through the end of the paid period.

Price changes. We may change prices. We'll give you notice, and changes take effect at your next renewal. Continuing after that means you accept the new price.

New Pro subscribers may receive a 14-day free trial. Unless you cancel at least 24 hours before the trial ends, it converts automatically into a paid subscription at the then-current price. One trial per user. We may change or withdraw trial offers at any time.

If your subscription ends or you downgrade to Free, your account and its data remain, but Pro-only features become unavailable. We don't delete your history because you stopped paying — restore Pro and it's there.

Don't: use the Service unlawfully; attempt to access accounts or data that aren't yours; probe, scan, or interfere with the Service or its infrastructure; reverse engineer, decompile, or attempt to extract source code except where that restriction is unenforceable by law; scrape or bulk-extract content; resell, sublicense, or provide the Service to third parties; upload malicious code; or use the Service in a way that infringes anyone's rights.

We may suspend or terminate accounts that violate these Terms.

Everything you put into Salesy — your rhythm, targets, logged activity, notes — is yours. You keep all rights to it. You grant us a limited licence to host, store, process, and display it solely to operate the Service for you. We don't claim ownership, and we don't use your content for anything else.

The Service — including its software, design, brand, "Salesy" name and logo, and all content we provide — is owned by us and protected by intellectual-property law. We grant you a personal, non-exclusive, non-transferable, revocable licence to use the Service under these Terms. That licence gives you no other rights to our IP.

The Service links to third-party sites and content, including curated products in "Salesy Picks." We don't control them and aren't responsible for them. Some of those links are affiliate links, meaning we may earn a commission on purchases at no additional cost to you. Your dealings with any third party are between you and them.

Salesy does not guarantee sales results. Salesy is a productivity and accountability tool. It helps you plan and track your own activity. It does not guarantee that you will close more deals, hit quota, increase revenue, or achieve any particular outcome. Your results depend on factors entirely outside our control. Nothing in the Service is a promise of income or performance.

Salesy is not medical, mental-health, or professional advice. Wellness check-ins, grades, streaks, and any curated wellness content are for general informational and self-tracking purposes only. They are not medical or psychological advice, diagnosis, or treatment, and are not a substitute for a qualified professional. If you are struggling, please talk to a doctor or licensed professional. Salesy is not a CRM and is not a system of record. Don't rely on it as your authoritative record of deals, contacts, or business data.

The Service is provided "as is." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will be uninterrupted, error-free, or that data will never be lost.

To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost sales, lost business opportunities, or lost data, arising from or relating to the Service — even if we've been advised such damages are possible.

Our total aggregate liability for any claim relating to the Service will not exceed the greater of (a) the amount you paid us in the 12 months before the event giving rise to the claim, or (b) [USD 50 / USD 100] Placeholder.

Some jurisdictions don't allow certain limitations, so parts of this section may not apply to you.

Sections that by their nature should survive termination (IP, disclaimers, liability limits, indemnity, governing law) survive.

We may modify, add, or remove features at any time. We may update these Terms; if changes are material, we'll update the "Last updated" date and give notice in the app or by email. Continued use after changes take effect means you accept them.

These terms apply if you downloaded Salesy from the Apple App Store:

• This agreement is between you and us only, not with Apple. We — not Apple — are solely responsible for the Service and its content.
• Your licence to use Salesy is limited to use on Apple-branded devices you own or control, as permitted by the App Store Terms of Service.
• Apple has no obligation to provide maintenance or support for Salesy.
• If Salesy fails to conform to any applicable warranty, you may notify Apple, and Apple may refund your purchase price; to the maximum extent permitted by law, Apple has no other warranty obligation.
• We — not Apple — are responsible for addressing any claims relating to Salesy, including product-liability claims, claims that it fails to conform to legal requirements, and claims under consumer-protection law.
• We — not Apple — are responsible for investigating and resolving any third-party claim that Salesy infringes intellectual-property rights.
• You represent that you are not located in a country subject to a U.S. Government embargo or designated as "terrorist supporting," and that you are not on any U.S. Government restricted-parties list.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce them against you.

These Terms, plus the Privacy Policy, are the entire agreement between you and us regarding the Service. If any provision is unenforceable, the rest stays in effect. Our failure to enforce a provision isn't a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
